Since this is a merger by absorption in which the absorbed company is wholly owned by the acquiring company, the transaction may be carried out in a simplified manner, pursuant to the provisions of Article 53 of Royal Decree-Law 5/2023, of June 28.

Altia announced the acquisition of 100% of Wairbut in July 2022 for €5.44 million. The transaction marked the incorporation of the Madrid-based company, founded in 2001 and with a significant volume of operations primarily in public administrations, especially in the Interior and Defense sectors, and in other sectors such as telecommunications and healthcare, into the Group.
Wairbut brings interesting synergies to drive our clients' digitalization and adds its vision in areas such as security and IoT with the aim of expanding and complementing the Group's portfolio of services and solutions.
