We have finalised the acquisition of 100% of EDNON. This transaction adds a team of 140 professionals to the company, and expands its capabilities and its technological services portfolio, particularly in areas related to innovation, data governance, cybersecurity, infrastructure solutions, managed services, systems and communications integration.
EDNON, founded in 2004, has been in business for 22 years and has a well-established position in the national market. It has carried out business in both the public and the private sectors, notably in healthcare — a sector in which their projects related to digital medicine and genomics are particularly noteworthy —, retail, the justice system and banking.
Value proposition
The acquisition of EDNON allows us to complement our value proposition with capabilities that are in line with today’s market needs. This is largely due to a clear focus on technological innovation, embodied in EDNON Labs, its innovation factory, and the development of services and solutions that bring together technical expertise, industry insight and knowledge applied to digital transformation projects. In addition, this operation strengthens our capabilities to support our clients in initiatives that require robust infrastructure, data governance, business continuity, cybersecurity services, and software solutions adapted to each environment.
This acquisition forms part of one of our strategic growth initiatives, based on the integration of companies with complementary capabilities, teams with a high technological profile and a corporate culture consistent with that of the Group.
EDNON brings significant expertise with public administrations and private clients in technology-intensive sectors, as well as a services portfolio that matches and enhances ALTIA’s areas of specialisation. Both companies share a business philosophy based on specialisation, quality of service and the development of long-term and close relationships with customers, which facilitates the development of a joint project aimed at shared growth.
“The addition of EDNON clearly strengthens our capability to continue expanding our services portfolio and to complement our capabilities in areas with a high demand for technology.
It is a well-established company with a highly qualified team, and a corporate culture very much in line with our own. We share a vision based on specialisation, customer focus, and applied innovation, and we are certain that this operation will doubtlessly open up new opportunities for our clients, amongst whom I now include those coming through EDNON, and also for the professionals joining the Group.”
Constantino Fernández, ALTIA's president
“Becoming part of ALTIA enables us to build on the work carried out over the last 22 years, and to start a new chapter for EDNON’s team and clients. This merger will allow us to undertake projects of greater scope, join capabilities, and keep offering customised, specialised and adapted responses to the needs of organisations that are facing more and more demanding digital transformation processes.”
Francisco Bao, EDNON’s owner
Growing by boosting growth
The acquisition has been made for a sum of €9.85 million, and an earn-out of up to €2.795 million linked to the accomplishment of Ednon’s Business Plan for the 2026 and 2027 financial years.
In the 2025 financial year, EDNON registered a turnover of €18.2 million, and an EBITDA of €1.8 million. In 2026, the signing of the final agreements already guarantees the achievement of the targets for the current financial year. These figures reflect the strength of its performance and the continuity of a project based on specialist knowledge in specific sectors, a close relationship with clients, and the ability to adapt to the needs of organisations with complex technological environments.
Through this transaction, ALTIA continues to make progress with its inorganic growth strategy, which is based on sustainable and profitable growth.
